Terms of Service

1. Parties

These Terms of Service (“Terms”) are between you and EG & IA LLC, which operates the APIThreshold software (“APIThreshold,” “we,” “us”). Questions: support@apithreshold.ai.

2. Product

APIThreshold provides MCP and CLI software for API quality scoring and deployment gates. Distribution includes a macOS binary and a Docker image. The software runs in your environment; we do not host or execute your APIs on your behalf.

3. License grant

Subject to these Terms and your tier, we grant you a limited, non-exclusive, non-transferable license to use the software. You may not redistribute the software, reverse engineer it except where law permits, circumvent license limits, or share a license JWT across unrelated organizations.

4. Tiers and limits

Limits are enforced by the software license (JWT). Tier names and capabilities on apithreshold.ai describe what the license enforces:

• Free — No license required. Up to 5 enrolled endpoints; Learning and Warning gate modes.
• Starter (paid) — While your subscription is active and your JWT is valid: up to 15 enrolled endpoints; Enforcing mode; Stripe and Twilio predefined profiles.
• Pro (paid) — While active and valid: up to 50 enrolled endpoints; Strict mode; per-spec breakdown in CI output; Stripe and Twilio predefined profiles.
• Enterprise — Limits, delivery, and support as agreed in writing.

5. Payment

Starter is available via email inquiry to support@apithreshold.ai and payment through Stripe. Subscriptions renew according to Stripe until canceled. See our Refund & cancellation policy for cancellation and refunds.

6. License delivery

After payment we email an APITHRESHOLD_LICENSE JWT. You set it in your environment. The JWT encodes your tier and customer identifier; keep it confidential.

7. Your LLM provider keys

You provide API keys for OpenAI, Anthropic, or other LLM providers you configure. You are responsible for provider terms, usage, and cost.

8. AI and quality gates disclaimer

Scores, recommendations, and gate results are assistive tools. We do not guarantee production safety or correctness. You are responsible for reviewing changes and deployment decisions.

9. Acceptable use

You will not use the software for illegal purposes, to abuse our systems or support channels, or to circumvent license or tier limits.

10. Termination

We may suspend or end access for breach, non-payment, or end of subscription. On termination, stop using the software and delete your license JWT. Sections that by nature should survive (e.g. limitations of liability) survive termination.

11. Limitation of liability

To the maximum extent permitted by law, APIThreshold’s total liability for claims arising from these Terms or the software is limited to the fees you paid us in the twelve (12) months before the claim, or one hundred US dollars ($100) if you paid no fees.

12. Governing law

These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict-of-law rules.

13. Changes

We may update these Terms by posting a revised version with a new “Last updated” date. Material changes will be noted on the site. Continued use after changes constitutes acceptance.
